Sütdiyarı Partner Portal – Terms of Use

1. Introduction

Welcome to the Sütdiyarı Partner Portal. The Portal provides approved business partners with access to marketing and product-related materials, including but not limited to product images, lifestyle and inspiration images, product descriptions, videos, logos, and social media content.

Sütdiyarı is a brand owned by Nordex Food A/S. These Terms of Use govern access to and use of the Portal and all Materials available within it.

By accessing and using the Portal, you agree to comply with these Terms. If you do not agree, you must not use the Portal.

2. Access and Use

Access to the Portal is granted exclusively to approved business partners of Nordex Food. Users are responsible for keeping login credentials confidential and must not share them with unauthorised parties.

If a registered user leaves your organisation, you are responsible for notifying Nordex Food promptly so that access can be revoked. Nordex Food reserves the right to suspend or terminate access at any time without prior notice if misuse is suspected or these Terms are breached.

3. Permitted Use of Materials

All Materials made available in the Portal may be used solely for the purpose of promoting, marketing, and selling Nordex Food / Sütdiyarı products. Permitted uses include:

• Use in digital and printed marketing materials
• Use in customer communication and sales presentations
• Use on websites, webshops, e-commerce platforms, and social media channels
• Use in paid media, including online advertising and campaigns
• Use in-store and in promotional activities

We encourage active use of the Materials to support sales and brand visibility, provided they are used responsibly and in line with these Terms.

4. Editing and Adaptation of Materials

Certain adjustments to Materials are permitted where necessary for format and placement purposes.

Permitted:

• Cropping, resizing, and formatting of images
• Adding text overlays such as pricing, campaign messages, or calls-to-action
• Adapting layouts to fit different channels or formats

Not permitted:

• Altering or modifying logos, trademarks, or brand assets
• Changing product appearance, packaging, or colours
• Editing Materials in a misleading or inaccurate way
• Creating derivative content that misrepresents the product or brand

5. Restrictions

The following actions are strictly prohibited unless prior written consent is obtained from Nordex Food:

• Using Materials in a way that may harm the brand’s reputation
• Using Materials for products or brands not owned by Nordex Food
• Sharing, sublicensing, or distributing Materials to third parties outside your organisation, except for approved partners (e.g. agencies) working directly on your behalf
• Making Materials publicly available for download or reuse by others

When Materials are shared with agencies or other third parties acting on your behalf, your organisation remains responsible for ensuring those parties comply with these Terms.

6. Paid Media and Advertising

Use of Materials in paid media campaigns is permitted, provided it is in line with Sütdiyarı’s brand guidelines. Nordex Food reserves the right to request the withdrawal or amendment of paid media content that does not meet brand standards. If you are in doubt about whether a specific use is appropriate, please contact Nordex Food before publishing.

7. Accuracy and Updates

Nordex Food strives to ensure that all Materials are accurate and up to date. Users are encouraged to regularly check the Portal to ensure they are using the most current versions of all Materials.

Nordex Food reserves the right to update, replace, or remove Materials at any time without notice. It is the user’s responsibility to check for and use the latest available Materials.

8. Intellectual Property Rights

All Materials remain the intellectual property of Nordex Food or its licensors and are protected by applicable copyright and trademark laws.

Access to the Portal does not transfer any ownership rights. Users are granted a limited, non-exclusive, non-transferable licence to use the Materials solely in accordance with these Terms.

Nordex Food does not warrant that Materials are free from third-party rights (such as model releases or music rights in video content). Users are responsible for verifying that any specific use of Materials complies with applicable laws and any third-party rights requirements relevant to their jurisdiction or use case.

9. Liability

To the extent permitted by applicable law, Nordex Food cannot be held liable for any direct or indirect loss arising from the use or misuse of Materials by users. Users are responsible for ensuring that their use of Materials complies with all applicable laws and regulations in their respective markets.

10. Termination of Access

Nordex Food reserves the right to terminate access to the Portal in the event of a breach of these Terms. Upon termination, all use of Materials must cease immediately, and any locally stored Materials must be deleted.

11. Changes to Terms

Nordex Food may update these Terms of Use at any time. Where changes are material, Nordex Food will notify registered users via the Portal or by email, with a minimum of 14 days’ notice before the updated Terms take effect. Continued use of the Portal after that period constitutes acceptance of the updated Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Danish courts.
